1. Agreement to Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client", "Customer", "User") and Midhusa Enterprise ("Company", "we", "us") governing your access to and use of our website, services, and products. These Terms apply to all divisions of Midhusa Enterprise including IT & Technology, Fine Art & Lippan, Premium Fashion, Global Consulting, Supply Chain & Logistics, and Corporate Gifting.
2. Use of Services
You may use our services only for lawful purposes and in accordance with these Terms. You agree not to:
- Use our services in any way that violates applicable local, national, or international law or regulation
- Reproduce, duplicate, copy, sell, or exploit any portion of our services without express written permission
- Attempt to gain unauthorised access to any part of our systems, servers, or databases
- Transmit any unsolicited commercial communications via our platforms
- Use our platforms to distribute malicious software, harmful content, or illegal material
3. Intellectual Property
All content on this website — including text, images, logos, designs, and code — is the intellectual property of Midhusa Enterprise and is protected by applicable copyright, trademark, and design laws. You may not use, reproduce, or distribute our content without prior written permission.
Custom Work: For IT development, Fine Art commissions, Fashion designs, and other bespoke deliverables — intellectual property ownership is governed by the specific project contract. Unless explicitly agreed in writing, Midhusa Enterprise retains ownership of all creative methodologies, frameworks, and base designs.
Art Commissions: Lippan and Fine Art commissions are sold as physical works. Digital reproduction rights, commercial licensing, and prints require a separate written agreement.
4. Payment Terms
- IT Projects: 50% advance on project initiation; 50% upon delivery and sign-off. Monthly retainer engagements are billed at the start of each month.
- Fine Art Commissions: 40% advance on commission confirmation; balance due 7 days before delivery.
- Fashion Orders: Full payment required for standard collections. Bulk/B2B orders: 60% advance, 40% pre-delivery.
- Consulting: Project fees as per agreed SOW. Retainers billed monthly in advance.
- Logistics: Per-shipment invoicing with payment due within 14 days of invoice date.
- Corporate Gifting: 100% advance for orders under ₹2 Lakhs; 60/40 for larger orders.
Late payments attract interest at 1.5% per month on the outstanding balance. We reserve the right to suspend services for accounts overdue by more than 30 days.
5. Delivery & Completion
Delivery timelines are specified in project proposals and service agreements. Timelines are estimates based on agreed scope and are subject to change if project scope changes, client approvals are delayed, or circumstances outside our reasonable control arise. We will communicate any timeline changes promptly and in writing.
6. Limitation of Liability
To the maximum extent permitted by applicable law, Midhusa Enterprise's total liability to you for any claim arising from or related to our services shall not exceed the total fees paid by you for the specific service giving rise to the claim in the 12 months preceding the claim.
We shall not be liable for indirect, incidental, consequential, or punitive damages including loss of profit, loss of data, or business interruption, even if we have been advised of the possibility of such damages.
7. Confidentiality
Both parties agree to keep confidential all non-public information disclosed in the course of service engagements. We treat all client data, business information, and project details as strictly confidential and will not disclose them to third parties without your written consent, except as required by law.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. The courts of Gautam Buddha Nagar, Uttar Pradesh shall have exclusive jurisdiction over any disputes arising from these Terms, unless otherwise agreed in writing.
9. Dispute Resolution
In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation within 30 days of written notice. If unresolved, disputes shall be submitted to arbitration under the Arbitration and Conciliation Act, 1996 (India), with a single arbitrator mutually agreed upon by both parties.
10. Amendments
We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised effective date. Your continued use of our services after any amendment constitutes acceptance of the new Terms.

Our fair and transparent refund and cancellation policy across all Midhusa Enterprise divisions and service lines.
Our Commitment: We stand behind the quality of every service and product we deliver. If we have not met the agreed standard, we will make it right — through revision, replacement, or refund as appropriate to the service type.
1. Overview
Due to the diverse nature of our five business divisions, refund and cancellation terms vary by service type. Please read the relevant section below for the division you have engaged. All refund requests must be submitted in writing to accounts@midhusa.com with your order reference, engagement details, and the reason for the request.
2. IT & Technology Services
- Project Cancellation (before work begins): 100% refund of advance payment within 7 business days.
- Project Cancellation (after work has begun): Advance is non-refundable for work already completed. A proportionate refund may be issued for incomplete milestones at our discretion.
- Service Dissatisfaction: We offer up to 2 rounds of revision at no cost. If the deliverable still does not meet agreed specifications, a partial refund will be negotiated in good faith.
- Monthly Retainers: Cancellation requires 30 days written notice. No refund for the current billing period; unused services in the notice period are forfeited.
3. Fine Art & Lippan Commissions
- Bespoke Commissions: Commission deposits (40%) are non-refundable once the design and material sourcing process has begun, as these costs are incurred immediately.
- Cancellation before design begins: Full refund of deposit within 14 days.
- Physical Damage on Delivery: We photograph all pieces before dispatch. If damage occurs in transit, we will repair or replace the piece at no cost. Claims must be raised within 48 hours of delivery with photographic evidence.
- Standard Gallery Pieces: Eligible for return within 14 days if undamaged and in original packaging. Return shipping costs are the buyer's responsibility.
Bespoke commissions cannot be resold and involve significant irreversible craft labour. Commission advances are therefore strictly non-refundable once work has commenced.

5. Consulting Services
- Before engagement commencement: Full refund of advance payment within 7 business days of cancellation notice.
- After engagement has commenced: Fees for completed deliverables are non-refundable. Remaining milestones will be released from obligation with no further payment required.
- Strategy Documents & Reports: Once delivered and accepted, reports are non-refundable as they represent completed intellectual work.
6. Logistics & Supply Chain
- Booking Cancellation (before dispatch): Full refund of booking fee minus any third-party costs already incurred (booking fees, documentation charges).
- In-Transit Cancellation: No refund is possible once a shipment is in transit. Redirection services may be available at additional cost.
- Lost or Damaged Shipments: Handled under our cargo insurance policy. Claims must be filed within 7 days of the expected delivery date.
7. Corporate Gifting
- Standard gifting orders: Cancellable within 24 hours of order placement for a full refund.
- Custom/branded orders (after production begins): Non-refundable as items are produced to specification.
- Damaged/incorrect deliveries: Full replacement within 7 business days upon photographic evidence.
